Healthways is currently seeking a full-time in-house attorney, focusing on healthcare regulatory and operations legal matters. This is an excellent opportunity for a corporate counsel, with healthcare/life science and significant in-house legal operations experience, who will have diverse responsibilities including handling matters related to healthcare regulatory matters, general contracts, corporate, acquisitions and strategic relationships and other ad hoc legal issues. As part of the legal department for a publicly traded company, the successful candidate will support the Vice President - General Counsel in providing specific advice and legal strategy on various areas of law relating to the company's business, will be primarily responsible for managing the Company's regulatory and operational legal matters and provide a variety of general corporate and commercial legal advice. Within this department, the colleague would have opportunities to learn in a dynamic organization and work with top legal professionals in addition to the executive management of the company. Similarly, this position would offer an unmatched view of the healthcare industry from the prospective of the nation's leader in well-being.

PRIMARY RESPONSIBILITIES:

* Assist with company compliance with existing regulatory and contractual obligations
* Consults on an ongoing basis on related issues with operation managers and executives regarding applicable laws and regulations, including, HIPAA, GLBA, State privacy laws, State insurance laws, regulatory requirements for healthcare utilization management and claims processing, peer review laws, professional scope of practice requirements, and the Federal Acquisition Rule (and applicable agency rules)
* Provides counsel to the Healthways Privacy Officer on HIPAA compliance and other privacy matters
* Provides counsel to the Healthways vendor contracting team
* Identify, track, review and analyze enacted and proposed state and federal laws and regulations that affect Healthways, and advise executive management and colleagues of the implications of such laws and regulations
* Draft, review, and negotiate vendor and customer contracts and licenses
* Provide advice and assistance to other company departments regarding legal interpretation of contracts, proposed transactions, and personnel policies
* Establish and implement regulatory program goals and responsibility for the overall compliance of program objectives
* Work on special projects assigned by the General Counsel. This project work normally involves research and recommendations on matters having company-wide significance.
* Plan strategies for solving various legal and business problems, as well as provide legal advice on these matters to management
* Assist management in developing operational strategies and solutions relating to corporate policy
* Maintain a formal contract management system
* Maintain a formal IP management system

Qualifications

* Bachelor's degree required
* J.D. required from a law school of recognized standing
* 8 to10 years post law school experience
* Excellent contracting, communication and client support/service orientation are absolutely necessary
* Experience with healthcare regulatory matters (including HIPAA), government contracting, PBMs and insurance companies, and utilization management/claims processing licensing are all helpful
* Experience as an in-house corporate counsel is preferred
* Experience planning, managing, and directing the development of regulations, policies, procedures, and guidance for the review of regulations associated with healthcare products and covered benefits, including privacy and security matters
* Experience dealing with and negotiating with individuals representing other organizations such as health plans, PBMs, employers, and government agencies
* Ability to work independently and as a team member, while using discretion in decision-making and sound judgment in problem-solving
* Ability to gather and analyze information to formulate a legal analysis and recommendation
* Effective time management skills and the ability to multi-task
* Strategic thinker with focus on practical client advice and the ability to advise on legal risks within a business context
* Knowledge of relevant federal and state laws and regulations
* Outstanding verbal and written communication skills
